DEFINITIONS
User: Any user of AllJobAgents.com including but not
limited to Recruiters, JobSeekers, Affiliates,
Counselors.
AllJobAgents.com: AllJobAgents.com website, and its
parent company JoePro.

ACCEPTABLE USE
User agrees to use AllJobAgents.com to obtain and
exchange employment specific data.
User shall have the right to publish through the
AllJobAgents.com certain content describing the User and
such other information.
Unless otherwise agreed in advance, User hereby grants
AllJobAgents.com, a royalty-free, non-exclusive license
to use, disclose, reproduce, modify, license and
distribute any and all content provided by User to the
AllJobAgents.com.

SPECIFIC PROHIBITIED USES
AllJobAgents.com may be
used only for lawful purposes by individuals seeking
employment and career information and employers seeking
employees. AllJobAgents.com specifically prohibits any
use of AllJobAgents.com, and all users agree not to use
AllJobAgents.com, for any of the following:
Posting any incomplete,
false or inaccurate biographical information or
information which is not your own accurate resume
(living individual seeking employment on a full-time or
part-time basis on his or her own behalf).
Posting any franchise,
pyramid scheme, "club membership", distributorship or
sales representative agency arrangement or other
business opportunity which requires an up front or
periodic payment, pays commissions only (no significant
salary), requires recruitment of other members,
sub-distributors or sub-agents.
Deleting or revising any
material posted by any other person or entity.
Using any device, software
or routine to interfere or attempt to interfere with the
proper working of AllJobAgents.com or any activity being
conducted on this site.
Taking any action, which
imposes an unreasonable or disproportionately large load
on AllJobAgents.com’s infrastructure.
If you have a password
allowing access to a non-public area of AllJobAgents.com,
disclosing to or sharing your password with any third
parties or using your password for any unauthorized
purpose.
Notwithstanding anything
to the contrary contained herein, using or attempting to
use any engine, software, tool, agent or other device or
mechanism (including without limitation browsers,
spiders, robots, avatars or intelligent agents) to
navigate or search AllJobAgents.com other than the
search engine and search agents available on
AllJobAgents.com and other than generally available
third party web browsers (e.g., Netscape Navigator,
Microsoft Explorer).
Attempting to decipher,
decompile, disassemble or reverse engineer any of the
software comprising or in any way making up a part of
AllJobAgents.com.
Aggregating, copying or
duplicating in any manner any of the materials or
information available from AllJobAgents.com.
Framing of or linking to
any of the materials or information available from
AllJobAgents.com.

While AllJobAgents.com does not and cannot review every
message or items published by Users on the
AllJobAgents.com and is not responsible for the content
of these published materials, AllJobAgents.com reserves
the right to edit content that AllJobAgents.com deems
defamatory, obscene, in violation of copyright or
trademark laws, or otherwise unacceptable.

AllJobAgents.com authorizes you to view and download a
single copy of the material on AllJobAgents.com solely
for your personal, noncommercial use.

REGISTRATION AND SECURITY
User shall provide AllJobAgents.com with registration
information that correctly represents User's
professional licensing, experience and ability.
User shall notify AllJobAgents.com at administrator@AllJobAgents.com
of any known or suspected unauthorized use(s) of User's
account, or any known or suspected breach of security.
COMMUNICATIONS BETWEEN AllJobAgents.com AND Users
Unless User indicates by notifying administrator@AllJobAgents.com
that User does not want to receive such information,
AllJobAgents.com reserves the right to disclose certain
limited User information for the purpose of providing
User with information about products and
AllJobAgents.com.
AllJobAgents.com reserves the right to send electronic
mail to any and all Users for the purpose of informing
them of changes or additions to the AllJobAgents.com,
this Agreement, or of any AllJobAgents.com related
products and AllJobAgents.com.

- CHANGES TO AllJobAgents.com
AllJobAgents.com reserves the right to change or
discontinue any part of the AllJobAgents.com website and
service. AllJobAgents.com may also impose limits on
certain features without notice or liability.
Notification of any such change will be posted on the
AllJobAgents.com or sent to User via e-mail.
If AllJobAgents.com makes changes to the
AllJobAgents.com, and if the changes cause User to be in
default under the terms of this Agreement, User may
terminate its subscription by sending an e-mail notice
of termination to administrator@AllJobAgents.com.
However, User's continued use of the AllJobAgents.com
following the posting of notice of any such change will
constitute a binding acceptance by User.

TERMINATION AND REFUND POLICY
User may terminate User's account at any time by sending
e-mail to adminstrator@AllJobAgents.com
Promotional products provided with purchase by
AllJobAgents.com are provided without an
AllJobAgents.com warranty of any kind, expressed or
implied, including those of merchantability and fitness
for a particular purpose, or arising from a course of
dealing, usage or trade practice. Any and all warranties
available for promotional products are provided directly
by the manufacturer. AllJobAgents.com makes no
warranties or representations regarding the accuracy or
completeness of the promotional product information
provided.

SITE LIMITATION
User hereby indemnifies, defends and holds
AllJobAgents.com, its parent company JoeProand
their officers, directors, owners, agents, information
providers, affiliates, licensors, licensees, and Users
(collectively, the "Indemnified Parties") harmless from
and against any and all liability and costs incurred by
the Indemnified Parties in connection with any claim
arising out of any technical failure in AllJobAgents.com.
Technical failure may occur as a result of power
failure, Site upgrade, faulty internet connection,
programming errors, database errors, and any other
cause.
User hereby indemnifies, defends and holds
AllJobAgents.com, its parent company JoePro,
and their officers, directors, owners, agents,
information providers, affiliates, licensors, licensees,
and Users (collectively, the "Indemnified Parties")
harmless from and against any and all liability and
costs incurred by the Indemnified Parties in connection
with any claim arising out of any Administration failure
or errors in AllJobAgents.com. Administration Failure
and error can occur by reason of human error or computer
error and are not limited by scope.

- GENERAL
AllJobAgents.com makes no claims that the Materials may
be lawfully viewed or downloaded outside of Canada.
Access to the Materials may not be legal by certain
persons or in certain countries. If you access
AllJobAgents.com from outside of Canada, you do so at
your own risk and are responsible for compliance with
the laws of your jurisdiction. These Terms and
conditions are governed by the internal substantive laws
of the Province of Ontario, Canada, without respect to
its conflict of laws principles. Jurisdiction for any
claims arising under this agreement shall lie
exclusively with the courts having jurisdiction within
the judicial district of Toronto, Province of Ontario.
If any provision of these Terms and Conditions are found
to be invalid by any court having competent
jurisdiction, the invalidity of such provision shall not
affect the validity of the remaining provisions of these
Terms and Conditions, which shall remain in full force
and effect. No waiver of any term of these Terms and
Conditions shall be deemed a further or continuing
waiver of such term or any other term. Except as
expressly provided in additional terms of use for areas
of AllJobAgents.com a particular "Legal Notice," or
Software License or material on particular Web pages,
these Terms and Conditions constitute the entire
agreement between you and AllJobAgents.com with respect
to the use of AllJobAgents.com. No changes to these
Terms and Conditions shall be made except by a revised
posting on this page.

REPRESENTATIONS AND WARRANTIES
User represents, warrants and covenants:
(a) that no materials of any kind submitted through
User's account will (i) violate, plagiarize, or infringe
upon the rights of any third party, including copyright,
trademark, privacy or other personal or proprietary
rights; or (ii) contain libelous or otherwise unlawful
material;
(b) that User's published materials on the
AllJobAgents.com or use of the AllJobAgents.com does not
violate any federal, provincial or local laws.
User hereby indemnifies, defends and holds
AllJobAgents.com, and its officers, directors, owners,
agents, information providers, affiliates, licensors,
licensees, and Users (collectively, the "Indemnified
Parties") harmless from and against any and all
liability and costs incurred by the Indemnified Parties
in connection with any claim arising out of any breach
by User of this Agreement, including, reasonable
attorneys' fees and costs.

THE AllJobAgents.com IS USED ON AN "AS IS" BASIS WITHOUT
WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED,
INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE OR
IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A
PARTICULAR PURPOSE. User HEREBY ACKNOWLEDGES THAT USE OF
THE AllJobAgents.com IS AT User'S SOLE RISK.
